A Mutual Confidentiality Agreement is a contract that binds all parties not to disclose or divulge confidential information. The parties signing the agreement agree that any sensitive information obtained under a confidentiality agreement shall not be made available to any third party. This Agreement governs the parties sharing of sensitive information without fear that will end up in the hands of the competitors.
A Mutual Confidentiality Agreement is used to protect proprietary information or trade secrets or confidential information of a disclosing party.
This agreement imposes obligations and restrictions to a recipient of any confidential information (however recorded, preserved, or disclosed) whether oral, written, electronic or otherwise, in order to ensure that confidentiality is maintained by the recipient.
